Terms & Conditions for Access & Use

A-SAT Incorporated (“A-SAT Inc.”), doing business as John’s Antennas, International Satellite & Antenna Service, and Florida Digital Sign, including the following websites: Ocalasatellite.com, johnsantennas.com, ispdish.com, nationwidemobileinternet.com, FLDSign.com,  and others as may be added in the future.

 

 

Welcome to the A-SAT Incorporated (“A-SAT Inc.”), doing business as International Satellite & Antenna Service and John’s Antennas website, including internationalsatellite.com, Ocalasatellite.com, johnsantennas.com, ispdish.com, nationwidemobileinternet.com,   FLDSign.com (collectively referred to as the " A-SAT Inc Sites"). The Sites are owned or controlled by A-SAT Inc., and its subsidiaries, divisions, affiliates, and brands (“collectively A-SAT”). All access to and use of the A-SAT Inc. Sites, applications, or other services associated with A-SAT Inc. on which these terms reside, and the features at the Sites, are subject to these Terms & Conditions for Access & Use (the “Terms”). In addition, when you use any of our services relating to the Sites, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they are incorporated into these Terms by this reference.

 

ACCESSING, BROWSING OR OTHERWISE USING THE SITES INDICATES YOUR AGREEMENT TO EVERYTHING SET FORTH IN THESE TERMS, SO PLEASE READ THIS CAREFULLY BEFORE PROCEEDING.

 

From time to time, we may update the Sites and these Terms. Your use of the Sites after we post any changes to these Terms constitutes your agreement to those changes. You agree to review these Terms periodically to ensure that you are familiar with the most recent version. A-SAT Inc. may, in its sole discretion, and at any time, discontinue the  Sites or any part thereof, with or without notice, or may prevent your use of the Sites with or without notice to you. You agree that you do not have any rights in the Sites and that A-SAT Inc. will have no liability to you if the Sites are discontinued or your ability to access the Sites or any content you may have posted on the Sites is terminated.

 

By accessing or linking to the Sites, you assume the risk that the information on the Sites may be incomplete, inaccurate, out of date, or may not meet your needs and requirements. We may add, change, discontinue, remove or suspend any of the information, features and other content included in the Sites at any time, without notice and without liability.

 

All information provided on the Sites is subject to change without notice. Due to the open nature of the Sites, and the potential for errors in the storage and transmission of digital information, A-SAT Inc. does not warrant the accuracy of information obtained from the Sites.

 

Access and Use of the Sites

 

The Terms do not alter in any way the terms or conditions of any other agreement you may have with A-SAT Inc., or its subsidiaries or affiliates, for products, services or otherwise. If you are using the Sites on behalf of any entity, you represent and warrant that you are authorized to accept these Terms on such entity's behalf and that such entity agrees to indemnify you and A-SAT Inc. for its violations of these Terms.

 

If you have been given a password and account identification to enable you to access and use certain portions of Sites. You have been given the opportunity to change your password as you feel necessary. Each time you use a password or identification, you will be deemed to be authorized to access and use the Sites in a manner consistent with these Terms, and we have no obligation to investigate the authorization or source of any such access or use of the Sites. YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THIS SITE BY ANYONE USING THE PASSWORD AND IDENTIFICATION ASSIGNED TO YOU AND YOUR ACCOUNT, WHETHER OR NOT SUCH ACCESS TO AND USE OF THIS SITE IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS AND TRANSMISSIONS AND ALL OBLIGATIONS (INCLUDING WITHOUT LIMITATION FINANCIAL OBLIGATIONS) INCURRED THROUGH SUCH ACCESS OR USE. You are solely responsible for protecting the security and confidentiality of your password and identification. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of the Site’s security.

 

By accessing and using the Sites, you agree: (a) you will not use any electronic communication feature of the Sites for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene, threatening, or hateful; (b) you will not upload, post, reproduce, or distribute any information, software, or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights; (c) you will not collect or store personal data about other users; (d) you will not use the Sites for any commercial transactions that are unrelated to the purposes for which the Sites was provided; (e) you will not upload, post, email, or otherwise transmit on interactive features intended for the general public, any advertising or promotional materials, or any other form of solicitation or unauthorized communication; (f) you will not upload, post, email, or otherwise transmit any material that contains viruses or any other computer code, files, or programs which might interrupt, limit, or interfere with the functionality of any computer software or hardware or telecommunications equipment; (g) you are bound by these Terms, including, but not limited to, conducting this transaction electronically, disclaimers of warranties, damage and remedy exclusions and limitations, and a choice of Florida law.

 

A-SAT Inc. Content

 

Content on the A-SAT Inc. Sites that is provided by A-SAT Inc. or its licensors, including certain graphics, photographs, images, screen shots, text, digitally downloadable files, trademarks, logos, product and program names, slogans, and the compilation of the foregoing (“A-SAT Inc. Content”) is the property of A-SAT Inc. and its licensors, and is protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws.

 

You agree not to download, display or use any A-SAT Inc. content located on the A-SAT Inc. Sites for use in any publications, in public performances, on websites other than the A-SAT Inc. Sites for any unpermitted commercial purpose, in connection with products or services that are not those of A-SAT Inc., in any other manner that is likely to cause confusion, that disparages or discredits A-SAT Inc. and/or its licensors, that dilutes the strength of A-SAT Inc’s or its licensor's intellectual property, or that otherwise infringes A-SAT Inc’s or its licensors’ intellectual property rights (including through use of screen scraping, web harvesting, data extraction, or similar software or technologies) . You further agree not to misuse in any other way any A-SAT Inc. Content or User Content that appears on the A-SAT Inc. Site.

If you are a trademark or copyright owner and you believe that your trademark or copyright rights have been violated, please contact us immediately using the contact information provided at the end of these Terms. We will take immediate appropriate action.

 

Posting Policy

 

From time to time on certain areas of the A-SAT Inc. Sites you may be able to submit reviews and certain other materials (“User Content”). By using these features, you agree that you will not post any content that is unlawful, harmful, tortious, defamatory, libelous, obscene, invasive of the privacy of another person, threatening, harassing, abusive, hateful, racist, infringing, pornographic, violent or otherwise objectionable or inappropriate as determined by A-SAT Inc.; that you will not post any content that contains personal information about any individual, violates the privacy/publicity of any other individual or entity, or anything that you are under a contractual obligation to keep private or confidential; that you will not impersonate any person or organization, including without limitation, the personnel of A-SAT Inc., or misrepresent an affiliation with another person or organization; you will not post any content that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of the A-SAT Inc. Site, or feature of the A-SAT Inc.. You further understand and agree that you have no ownership rights in any account you may have with us, or other access to the A-SAT Inc. Sites or features therein. A-SAT Inc. may cancel your account and delete all User Content associated with your account at any time, and without notice, if A-SAT Inc deems that you have violated these Terms, the law, or for any other reason. A-SAT Inc. assumes no liability for any information removed from our A-SAT Inc. Sites and reserves the right to permanently restrict access to the A-SAT Inc. Sites or a user account.

 

By displaying, publishing, or otherwise posting any User Content on or through the A-SAT Inc. Sites, you hereby grant to A-SAT Inc. a limited, non-exclusive, sub-licensable, worldwide, fully-paid, royalty free license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content in any and all media now known or hereinafter developed without the requirement to make payment to you or to any third party or the need to seek any third party permission. This license includes the right to host, index, cache, distribute, and tag any User Content, as well as the right to sublicense User Content to third parties, including other users, for use on other media or platforms known or hereinafter developed. You continue to retain all ownership rights in your User Content, and you continue to have the right to use your User Content in any way you choose, subject to these Terms and the license described herein. You represent and warrant that you own the content submitted, displayed, published or posted by you on the A-SAT Inc. Sites and otherwise have the right to grant the license set forth herein, and the displaying, publishing or posting of any content you submit, and our use thereof does not and will not violate the privacy rights, publicity rights, copyrights, trademark rights, patents, contract rights or any other intellectual property rights or other rights of any person or entity. Notwithstanding the foregoing, you acknowledge that your User Content may contain concepts, ideas, materials, proposals, suggestions, and the like relating to A-SAT Inc. or our initiatives (your “Ideas”). With respect to Ideas you acknowledge that: (a) A-SAT Inc. receives numerous submissions from many parties and/or may have independently developed and/or considered similar Ideas, and that A-SAT Inc’s review of the Ideas is not an admission of novelty, priority or originality; and (b)A-SAT Inc’s use of any similar Ideas, whether based on your User Content, provided to A-SAT Inc. by third parties, or independently developed or considered by A-SAT Inc., shall be without obligation to you.

 

A-SAT Inc. does not guarantee the accuracy of information obtained from the A-SAT Inc. Sites. A-SAT Inc. does not endorse, verify, evaluate, or guarantee the accuracy or reliability of the information provided by users, and nothing shall be considered as an endorsement, verification, or guarantee of any User Content. You acknowledge and agree that any use or reliance on the User Content will be at your own risk and you are solely responsible for any such use or reliance.

 

Terms of Sale

When You Purchase Goods or Services from the A-SAT Inc. Sites 

 

All prices are shown in U.S. dollars; taxes, shipping and handling charges are additional. All items are subject to availability, and we reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue products or services without notice, even if you have already placed your order. All prices are subject to change without notice,non-refundable and you agree that taxes may be adjusted from the amount shown on the billing screens. Several factors may cause this, such as variances between processor programs and changes in tax rates.

 

We attempt to be as accurate as possible and eliminate errors on the A-SAT Inc. Sites; however, there may be errors, and we do not warrant that all product, service, description, photograph, pricing or other information is accurate, complete, reliable, current or error-free. In the event of an error, whether on the A-SAT Inc. Sites, in an order confirmation, in processing an order, delivering a product or service or otherwise, we reserve the right to correct such error and revise your order accordingly if necessary (including charging the correct price) or to cancel the order and refund any amount charged. Your sole remedy in the event of such error is to cancel your order and obtain a refund.

 

Sometimes we will not know in advance that a product is unavailable, and some items may be backordered or unavailable even if the A-SAT Inc. Sites indicate that they are in stock. Adding an item to your cart does not guarantee the availability of that item. We will not charge your payment card until the item ships to the designated delivery address. If the back-ordered item is no longer available, we will cancel it from your order and notify you, usually by e-mail or telephone. If you have items on back order that you would like to cancel, please contact us.

 

You agree that all of your transactions with or through the A-SAT Inc. Sites, at our option, be conducted electronically from start to finish, and that any oral conversations may be recorded. If we decide to proceed non-electronically, those transactions will still be governed by the remainder of these Terms unless you enter into different terms provided by us. You are responsible for printing or saving an electronic copy of these Terms and any other agreements or disclosures provided to you.

When we ship to you or per your directions, you agree to pay the shipping and any handling charges set forth in our Shipping Policy when your order is placed. We reserve the right to increase, decrease, and add or eliminate charges from time to time and without prior notice, so you agree to check all charges before placing an order or signing up for a service. Generally, shipping is by standard ground delivery. Any shipping or handling charges may or may not reflect actual costs. All orders are shipment contracts, not destination contracts. Any shipping times shown on the A-SAT Inc. Sites are estimates only – actual delivery dates may vary. You agree that you will not export the purchased product outside of the approved territory.

 

Only valid credit cards or other payment methods acceptable to us may be used and all refunds will be credited to the same card or, in our discretion, other credit method. By submitting your order, you represent and warrant that you are authorized to use the designated card and authorize us to charge your order (including taxes, shipping, handling and any other amounts described on the A-SAT Inc. Sites) to that card. If the card cannot be verified, is invalid, or is not otherwise acceptable, your order may be suspended or cancelled. Regarding "Your Account," you agree to keep all payment card or other payment method information current, and that we may submit charges for processing even if the card has expired or changed by the time we submit it. You must resolve any problems we encounter to proceed with your order.

 

Returns

 

Within 30 days of receipt of your order, you may return:

 

Any item in its original condition and packaging (unopened).

Items that have been installed, disassembled, or damaged due to improper installation are not eligible for return.

We are not responsible for installation errors.

Product returns that are returned for credit will be subject to a restocking fee (25%).

 

Special-order products are not returnable.

 

Returns will not be accepted for any of the following reasons:

 

Manufacturer’s original packaging is missing, incomplete, damaged, or defaced

Missing or damaged: accessories, warranty cards, manuals, etc

Product is not in an acceptable condition for resale (scratched, damaged, etc.)

Electrical parts may not be returnable if unsealed

TV Antennas that have been unfolded, assembled, and/or installed

TV antennas that have been unfolded, assembled, or installed are not returnable.

No returns will be accepted without a Return Merchandise Authorization (RMA) number. Unauthorized returns may be subject to a 25% restocking fee.

Original order shipping charges are non-refundable.

Returns restocking fee will be applied to your order if the return is unauthorized!

 

Free Shipping Items

On items that were sold as "FREE Ground Shipping", it is the customer's responsibility to pay the actual cost to ship the item to the customer in the original shipment, as well as the shipping charges to ship the item back to us.

 

Defective Items

 

A-SAT Inc. will send a pre-paid Return Services label via email for the defective item.

Claims for shipping damage must be filed with the carrier. Customers must notify A-SAT Inc. within 48 hours of receiving damaged merchandise.

 

Manufacturers of products may provide other warranties, and you agree that your remedy for any defects in such products will be based solely on the warranty(s), if any, provided by those manufacturers. Products eligible for warranty return may be returned in accordance with A-SAT Inc’s returns and exchanges policy. This warranty gives you specific legal rights, and you may have other rights that vary by State.

 

The risk of loss and title for items purchased by you pass to you upon our delivery of the items to the carrier pursuant to our standard terms of sale and in accordance with your account Terms & Conditions established when you set up your account with A-SAT Inc..

This site may contain links to other sites on the Internet that are owned and operated by third parties. You acknowledge that we are not responsible for the operation of or content located on or through any such site.

 

Indemnifications

 

You agree to indemnify and hold A-SAT Inc., its parents, subsidiaries, officers, employees, and website contractors and each of their officers, employees and agents harmless from any claims, damages and expenses, including reasonable attorneys' fees and costs, related to your violation of these Terms, including the Posting Policy, or which arises from the use of User Content you submitted, posted, or otherwise provided to A-SAT Inc. Sites.

Any dispute arising from the use of this site or the purchase of goods or services shall be resolved through binding arbitration conducted in Marion County, Florida, in accordance with the laws of the State of Florida.

 

Representations and Limitations of Liability

 

A-SAT Inc. makes no representations about the reliability of the features of the A-SAT Inc. Sites, the Content, User Content, or any other A-SAT Inc. Sites feature, and disclaims all liability in the event of any service failure. You acknowledge that any reliance on such material or systems will be at your own risk. A-SAT Inc. makes no representations regarding the amount of time that any Content or User Content will be preserved.

A-SAT Inc. shall not be responsible for any damage to property, personal injury, or signal performance issues resulting from customer installation or modification of equipment purchased through our websites. Installation of antenna systems involves inherent risks, including roof penetration, grounding issues, and structural mounting. Customers assume all risks associated with self-installation.

 

Reception of broadcast television, satellite, or wireless internet signals may vary due to terrain, building materials, foliage, atmospheric conditions, and changes in broadcast power. A-SAT Inc. does not guarantee reception of any specific channels or services unless explicitly stated in a written service agreement.

 

Signal Reception, Installation, and Service Limitations

 

Signal Reception Disclaimer

 

Reception of over-the-air television signals, satellite signals, cellular signals, or wireless internet signals may vary due to factors beyond the control of A-SAT Inc., including but not limited to terrain, distance from broadcast towers, foliage, building materials, interference from nearby structures, atmospheric conditions, broadcast power changes, and government frequency reallocation.

 

A-SAT Inc. makes no guarantee that all channels, networks, or services will be received at every location, and signal availability may change at any time without notice.

 

Channel Availability Disclaimer

 

Broadcast television stations, satellite programming providers, streaming services, and wireless carriers may add, remove, relocate, or modify channels or services at any time. A-SAT Inc. does not control these changes and cannot guarantee the continued availability of any specific channel, network, or programming service.

 

Any channel lists, coverage maps, or signal predictions provided on the International Satellite & Antenna Service Sites are estimates only and are provided for informational purposes.

 

Broadcast Signal Changes

 

Broadcast television stations may modify their transmission frequency, broadcast power, antenna location, or technical parameters at any time as authorized by the Federal Communications Commission (FCC). In addition, signal reception may change over time due to new construction, tree growth, atmospheric conditions, interference from electronic devices, or other environmental factors beyond A-SAT Inc.'s control.

 

Because of these variables, continued reception of specific channels or signal strength cannot be guaranteed after installation or equipment purchase.

 

A-SAT Inc. is not responsible for future reception changes resulting from broadcast modifications, environmental changes, or factors outside our control. Service visits requested to diagnose or improve reception under these circumstances may incur standard service charges.

 

Installation Risk Disclaimer

 

Installation of antennas, satellite equipment, mounts, wiring, grounding systems, and related hardware involves working at heights and interacting with building structures and electrical grounding systems. Customers who choose to install equipment themselves assume all risks associated with installation.

 

A-SAT Inc. shall not be responsible for equipment damage caused by lightning strikes, electrical surges, or improper grounding of customer-installed equipment.

 

A-SAT Inc. shall not be responsible for any personal injury, property damage, roof leaks, structural damage, electrical issues, grounding problems, or signal performance issues resulting from customer installation, modification, or relocation of equipment purchased through the International Satellite & Antenna Service Sites.

 

Professional Installation Limitation

 

Even when installation services are provided by A-SAT Inc., signal performance may vary due to environmental conditions beyond our control. While our technicians use professional equipment and best practices to maximize signal reception, specific channel reception cannot be guaranteed unless otherwise stated in a written service agreement.

 

DIY Equipment and Compatibility Disclaimer

 

Customers purchasing equipment for self-installation are responsible for verifying compatibility with their existing systems, mounting structures, wiring, and service providers. A-SAT Inc. cannot guarantee compatibility with all television sets, streaming devices, routers, satellite receivers, or third-party services.

 

Technical support may be limited for products installed by the customer without professional installation.

HOA and Property Restrictions

 

Some properties, including communities governed by Homeowners Associations (HOAs), condominium associations, landlords, or property management companies, may have restrictions regarding the placement or appearance of antennas or related equipment.

 

Federal Communications Commission (FCC) regulations, including the Over-the-Air Reception Devices Rule (OTARD), may allow certain antennas to be installed on property under the resident’s exclusive control; however, these rules may not apply to all installation locations or property types.

 

Customers are responsible for verifying compliance with all applicable HOA rules, lease agreements, property restrictions, and local regulations before purchasing or installing equipment.

 

A-SAT Inc. is not responsible for disputes, fines, removal requests, or other actions taken by homeowners associations, landlords, property managers, or local authorities related to the installation of antenna equipment.

 

Products from DISH, DIRECTV, AirTV, Roku, HughesNet, Starlink, ViaSat, and others are sold subject to the terms and conditions of the respective manufacturers and/or service providers and are available at their respective websites. DEALER does not in any manner warrant which programmers/service providers or services may or may not use a particular device, nor any time period for such use.

A-SAT Inc. does not endorse, verify, evaluate, or guarantee any information provided by users, and nothing shall be considered as an endorsement, verification, or guarantee of any User Content. You shall not create or distribute information, including but not limited to advertisements, press releases, or other marketing materials, or include links to any sites that contain or suggest an endorsement by A-SAT Inc., without the prior review and written approval of A-SAT Inc.

These Terms shall operate to the fullest extent permissible by law. Accessing materials on the A-SAT Inc. Sites by certain persons in certain countries may not be lawful, and A-SAT Inc. makes no representation that materials on the A-SAT Inc. Sites are appropriate or available for use in locations outside the United States. If you choose to access the A-SAT Inc. Sites from outside the United States, you do so at your own risk and initiative and are responsible for compliance with any applicable local laws.

 

On certain areas of our A-SAT Inc. Service Sites, you may be given the ability to provide us with personally identifiable information. Please read our Privacy Policy for more information about our information collection and use practices, which applies to information you submit on the A-SAT Inc. Sites, and you hereby agree to the terms of that Policy.

 

If A-SAT Inc. fails to act with respect to your breach or anyone else's breach on any occasion, A-SAT Inc. is not waiving it’s right to act with respect to future or similar breaches.

 

If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions.

 

These Terms constitute a binding agreement between you and A-SAT Inc. and is accepted by you upon your use of the A-SAT Inc. Sites. These Terms constitute the entire agreement between you and A-SAT Inc. regarding the use of the A-SAT In.  Sites. By using the A-SAT Inc. Sites you represent that you are capable of entering into a binding agreement, and that you agree to be bound by these Terms.
